Terms and Conditions

Please read the Terms and Conditions ("the Terms") carefully. By using TeamLab Portal, you state that you have read, understand, and agree to be bound by the Terms. If you disagree with the Terms, you shall not use TeamLab Portal.

The Terms and Conditions govern your use of TeamLab Portal available at http://www.teamlab.com developed by Ascensio System SIA ("Ascensio System").

1. "You" refers to a user or legal entity registered to use TeamLab Portal in accordance with the Terms.
2. "Data" means information about user/legal entity or usage of TeamLab Portal.

Part I
Terms of Service

1. Ascensio System may amend the Terms without specific notice to you, and you agree to be bound by such modifications or revisions. You can read the latest version of the Terms at http://www.teamlab.com/legalterms.aspx
2. You must not use TeamLab for any illegal or unauthorized purpose. You must not, in the use of TeamLab Portal, violate any laws in your jurisdiction (including but not limited to copyright, trademark laws).
3. You are responsible for complying with all applicable local, state, national and foreign laws relating to your use of TeamLab Portal.

1. Ascensio System provides TeamLab Portals on "as is" and "as available" basis.
2. Ascensio System SIA provides free TeamLab Portal features and paid Extra Services. You are not obliged to purchase TeamLab Extra Services.

1. Ascensio System reserves the right to modify, update, or temporarily discontinue TeamLab Portal (or any part thereof) with or without notice.
2. Ascensio System shall not be liable to you or to any third party for any modification, suspension or discontinuance of TeamLab Portal.

1. Ascensio System will not share, disclose, sell, lease, modify, delete or distribute any Data provided by you in any manner.
2. Ascensio System will not view the Data provided by you except when given your written permission for the purpose of support. For more information on Data Security please read our Privacy Policy at http://www.teamlab.com/privacy.aspx
3. You take full responsibility for timely backing up your TeamLab Portal Data. Data backup is highly recommended for additional security and protection of your Data against loss due to server failure.
4. You agree not to share your username and password with other people. You are responsible for maintaining the confidentiality of your TeamLab Portal account and password. It is your responsibility to notify Ascensio System if you believe your username or password have been compromised or used in an unauthorized manner. Ascensio System assumes no responsibility, liability or obligations for any loss or damage to your data resulting from your failure to comply with the security of your username and/or password.

1. You understand and agree that use of TeamLab Portal is at your sole risk.
2. Ascensio System makes no warranty that (a) TeamLab Portal will meet your requirements or expectations, (b) TeamLab Portal will be uninterrupted, timely, secure, or error-free, and (c) any errors in TeamLab Portal will be corrected.
3. You expressly understand and agree that Ascensio System shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Ascensio System has been advised of the possibility of such damages), resulting from your usage of TeamLab Portal.

Part II
Terms of TeamLab Portal Registration and Use

1. A Portal Administrator must be 18 years or older to register and use TeamLab Portal.
2. You must be a human. Accounts registered by "bots", "robots" or other automated methods are not permitted.
3. A Portal Administrator is responsible for all content posted and activity in a TeamLab Portal, including content posted by users. Ascensio System SIA bears no responsibility over all content posted in TeamLab Portals.
4. You must provide legal first and last names, valid email address in order to complete the registration process and continue to use TeamLab Portal.
5. Login to your account may only be used by one person - a single login shared by multiple people is not permitted.
6. You must not upload, post, host, or transmit unsolicited email, text messages, or "spam" messages.
7. You must not transmit any malware or any code of a destructive nature.
8. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Ascensio System customer, employee, member, or officer will result in account termination.

1. TeamLab Portal provides free features and paid Extra Services.
2. Free features are provided free of charge.
3. Extra Services are additional paid services as described at http://www.teamlab.com/saas.aspx
4. Extra Services are provided on the pre-pay basis.
5. A Portal Administrator or a user may purchase Extra Services.
6. You may set to be charged automatically for Extra Services or cancel Extra Services anytime.
7. If you cancel Extra Services, you won't be able to useExtra Services. Though, the data and content posted using Extra Services will be available at your TeamLab Portal for viewing and deletion.
8. Ascensio System reserves the right to change the terms of free features provision. Such notice may be provided by posting the changes on http://www.teamlab.com/legalterms.aspx or notices at your TeamLab Portal or by emailing Portal Administrator about the changes.
9. While using free features, Ascensio System may restrict TeamLab Portal storage limits, page views, upload file size, number of participating members and the number of projects created and owned by the user.

1. Portal Administrator is solely responsible for properly cancelling user accounts and whole TeamLab Portal. Portal Administrator can either temporarily deactivate or permanently delete user account at any time from the "Employee" page. Portal Administrator can cancel TeamLab Portal at any time from the "Settings" page.
2. All TeamLab Portal content and personal information will be deleted upon TeamLab Portal deletion. Once your TeamLab Portal is deleted, your content cannot be recovered.
3. Ascensio System may suspend or terminate your TeamLab Portal if you violated any of the Terms. In the event of termination you may not be granted access to your TeamLab Portal.

1. The Terms and all matters arising from them shall be governed by and construed according to the laws of the Rep. of Latvia, European Union and all disputes in relation thereto shall be subject to the exclusive jurisdiction of the Courts of the Rep. of Latvia, European Union.
2. We may, but have no obligation to, remove content and accounts containing content that is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or the Terms.
3. Ascensio System uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run TeamLab Portal.
4. You understand that the technical processing and transmission of TeamLab Portal, including your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
5. You agree to receive administrative and legal notices about TeamLab Portal via email.
