The Terms and Conditions govern your use of TeamLab Office available at http://www.teamlab.com developed by Ascensio System SIA ("Ascensio System").

Definitions

1. "You" refers to a user or legal entity registered to use TeamLab Office in accordance with the Terms.
2. "Data" means information about user/legal entity or usage of TeamLab Office.

Part I. Terms of Service

General

1. Ascensio System may amend the Terms without specific notice to you, and you agree to be bound by such modifications or revisions. You can read the latest version of the Terms at http://www.teamlab.com/legalterms.aspx
2. You must not use TeamLab Office for any illegal or unauthorized purpose. You must not, in the use of TeamLab Office, violate any laws in your jurisdiction (including but not limited to copyright, trademark laws).
3. You are responsible for complying with all applicable local, state, national and foreign laws relating to your use of TeamLab Office.

Provision

1. Ascensio System provides TeamLab Office on "as is" and "as available" basis.
2. Ascensio System SIA provides software as a service. The SaaS version is provided to users without payment on a trial basis. Once the trial period has passed, Teamlab Office may stop running until the service is paid according to pricing plans available on the trial end date.

Modifications

1. Ascensio System reserves the right to modify, update, or temporarily discontinue TeamLab Office (or any part thereof) with or without notice.
2. Ascensio System shall not be liable to you or to any third party for any modification, suspension or discontinuance of TeamLab Office.

Data Security

1. Ascensio System does its best to provide security for TeamLab Office.
2. Ascensio System will not share, disclose, sell, lease, modify, delete or distribute any Data provided by you in any manner.
3. Ascensio System will not view the Data provided by you except when given your written permission for the purpose of support. For more information on Data Security please read our Privacy Policy at http://www.teamlab.com/privacy.aspx
4. You take full responsibility for timely backing up your TeamLab Office Data. Data backup is highly recommended for additional security and protection of your Data against loss due to server failure.
5. You agree not to share your username and password with other people. You are responsible for maintaining the confidentiality of your TeamLab Office account and password. It is your responsibility to notify Ascensio System if you believe your username or password have been compromised or used in an unauthorized manner. Ascensio System assumes no responsibility, liability or obligations for any loss or damage to your data resulting from your failure to comply with the security of your username and/or password.
6. Ascensio System is not liable for Data loss or damage, interruptions to the service or other disruptions to using TeamLab Office incurred by third-party faults or force majeure reasons.

Disclaimer of Warranties and Liability

1. You understand and agree that use of TeamLab Office is at your sole risk.
2. Ascensio System makes no warranty that (a) TeamLab Office will meet your requirements or expectations, (b) TeamLab Office will be uninterrupted, timely, secure, or error-free, and (c) any errors in TeamLab Office will be corrected.
3. You expressly understand and agree that Ascensio System shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Ascensio System has been advised of the possibility of such damages), resulting from your usage of TeamLab Office.

Part II. Terms of TeamLab Office Registration and Use

Account Terms

1. A Portal Administrator must be 18 years or older to register and use TeamLab Office.
2. You must be a human. Accounts registered by "bots", "robots" or other automated methods are not permitted.
3. A Portal Administrator is responsible for all content posted and activity in a TeamLab Office, including content posted by users. Ascensio System SIA bears no responsibility over all content posted in TeamLab Office.
4. You must provide legal first and last names, valid email address in order to complete the registration process and continue to use TeamLab Office.
5. Login to your account may only be used by one person - a single login shared by multiple people is not permitted.
6. You must not upload, post, host, or transmit unsolicited email, text messages, or "spam" messages.
7. You must not transmit any malware or any code of a destructive nature.
8. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Ascensio System customer, employee, member, or officer will result in account termination.

TeamLab Office Features Provision

1. TeamLab Office provides paid TeamLab Office SaaS version and free TeamLab Server version.
2. Prices for TeamLab Office SaaS are available at http://www.teamlab.com/saas.aspx
3. TeamLab Office SaaS version is provided on the prepaid basis.
4. A Portal Administrator or a user may purchase TeamLab Office SaaS.
5. You may set to be charged automatically for TeamLab Office SaaS or cancel to use TeamLab Office SaaS anytime.
6. If you cancel TeamLab Office SaaS, you won't be able to use TeamLab Office SaaS. The data and content posted using TeamLab Office SaaS will not be available for viewing and deletion until you pay for it.
7. Ascensio System reserves the right to change the terms of free TeamLab Server version provision. Such notice may be provided by posting the changes on http://www.teamlab.com/legalterms.aspx or notices at your TeamLab Office or by emailing Portal Administrator about the changes.
8. While using free TeamLab Server version, Ascensio System may restrict usage of TeamLab Editors.

TeamLab Office SaaS version Provision for Nonprofit Organizations

1. TeamLab Office provides TeamLab Office SaaS version to nonprofit organizations on a free basis.
2. Nonprofit organizations, that intend to use TeamLab Office on a free basis, must have a website with the content confirming that they are founded and maintained for other than profit-making activities.
3. The website of a nonprofit organization must exclude any content, related to illegal activities, violence, privacy abuse, pornography and other sexually explicit content.
4. Nonprofit organizations must post one of TeamLab Office banners to their website main page to use TeamLab Office SaaS on a free basis. The banners must be present at the website throughout all the period of TeamLab Office SaaS use.
5. Ascensio System reserves the right to reject the request for the use of the service on a free basis for any reason, and to supplement or amend the specified eligibility guidelines at any time. Selections are made at Ascensio System's sole discretion, and are not subject to external review.

TeamLab Office Cancellation and Termination

1. Portal Administrator is solely responsible for properly cancelling user accounts and whole TeamLab Office. Portal Administrator can either temporarily deactivate or permanently delete user account at any time from the "People" page. Portal Administrator can cancel TeamLab Office at any time from the "Settings" page.
2. All TeamLab Office content and personal information will be deleted upon TeamLab Office deletion. Once your TeamLab Office is deleted, your content cannot be recovered.
3. Ascensio System may suspend or terminate your TeamLab Office if you violated any of the Terms. In the event of termination you may not be granted access to your TeamLab Office.

Part III. Terms of TeamLab Office Affiliate Program

1. The purpose of the Affiliate Program is to legally advertise TeamLab Office to receive a commission on subscriptions purchased by your referred individuals.
2. To participate in the Affiliate Program, you must complete a special registration form at the TeamLab Office website or, if you are a registered TeamLab user, join the Program from your portal.
3. The commission rate shall be floating depending on the Affiliate sales amount.
4. The commission earned shall be paid to the Affiliate Program participant every month during the period of three years since each portal's first payment was effected.
5. TeamLab Office reserves the right to check the website, where TeamLab Office service is advertised. In case the advertising material with a unique affiliate link is absent, the assignment of any clicks or registrations from this website to the Affiliate account shall be cancelled.
6. The website, where TeamLab Office service is advertized, must exclude any content, related to illegal activities, violence, privacy abuse, pornography and other sexually explicit content.
7. Your affiliate application and status in the program may be suspended or terminated for any of the reasons Teamlab Office considers reasonable, including:
   • irrelevant advertisements containing false claims or misleading hyperlinks;
   • advertising on websites containing any content related to illegal activities or promoting them;
   • violation of intellectual property rights;
   • inability to setup links or refer clients to TeamLab Office.
8. You or TeamLab Office may terminate the Affiliate relationship at any time.
9. TeamLab Office reserves the right to change the Program or Service policies at any time.

Part IV. Terms of Support

1. We provide support within 48 hours on working days and within 72 hours on weekends.
2. Support is offered in English, Russian, French, German, Spanish and Italian.
3. We guarantee a timely reply to all requests.
4. Support is provided through the Customer Support System and through the Chat*
5. We do not offer phone support.
6. We do not provide support for Open Source version.
7. We provide support for TeamLab Office only. We do not provide support either for third-party applications nor for third-party code.

* Chat support is offered in English and Russian only.

Part V. Miscellaneous

1. The Terms and all matters arising from them shall be governed by and construed according to the laws of the Rep. of Latvia, European Union and all disputes in relation thereto shall be subject to the exclusive jurisdiction of the Courts of the Rep. of Latvia, European Union.
2. We may, but have no obligation to, remove content and accounts containing content that is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or the Terms.
3. Ascensio System uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run TeamLab Office.
4. You understand that the technical processing and transmission of TeamLab Office, including your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
5. You agree to receive administrative and legal notices about TeamLab Office via email.
